Representative Matters

Renegotiated and redrafted sales, distribution and licensing agreements for semiconductor companies 20 North American offices, 7 International commercial sales offices in Europe. Sales volume was increased over $10 million with only one termination litigation in Belgium.

Negotiated and drafted sales and equipment purchase agreements for Video Text and Conferencing service offered by a dominant communications carrier. The customer base was domestic and equipment manufacturer was European. The project was on schedule and within budget parameters.

Negotiated and drafted earth station site leases and earth station equipment purchases for a domestic earth station project. The budget was $100 million and included 126 sites that interconnected to satellite and terrestrial facilities. Prepared and presented requests for project approval by state and federal regulatory agencies.

Represented RCA Corp. regarding utility agreements for interim/construction and permanent communications for the Trans Alaska Oil Pipeline. Result was an agreement that met FERC regulation for oil tariff, cost inclusion. The amount was approximately $50 million. Representation included monitoring costs and performance as well as contract interpretation.

Prepared proposal and contract documents for Norwest Bank total solution communications system. The project was awarded to the client and was budgeted in excess of $20 million. Represented analog semiconductor company in a patent defense before the Federal District Court, Massachusetts. The client was successful based upon discovery of prior art.  Market value of the patented design was over $40 million.

Represented municipal electric company before the public utility commission regarding revenue requirement increases of 15%. Result was an increase of 12% (approximately $13 million) to cover gas supply and operating costs.

Represented municipal electric utility in cogeneration docket. Result was approval of cogeneration arrangements, generation standards and contractual terms.

Represented a dominant carrier before the Colorado Public Utilities Commission for a general rate case that requested an increase of 20% and rate restructure for business and residential service. The result was an increase of 13% (approximately $150 million) and rate restructure moving some actual cost to residential services.

Represented communications company, Alascom, before the State Public Utility Commission and FCC regarding tariff rates and services for a communications system that supported the Trans Alaska Oil Pipeline. Rates were established for private service and public message toll service.

Defended analog semiconductor company in a contract / manufacturing litigation regarding manufacture and distribution of the companies components. The case was tried in Arizona District Court and required extensive discovery of sales and manufacturing records. The court declared the company had rights to the design and was to be paid revenues from unauthorized sales of over $10 million.
